The quick read: Consolidated financial statements can be useful without proving how much cash or income belongs to the property borrower. Identify the included entities, elimination entries and actual transfer restrictions, then reconcile the group package to the lender's requested scope. A consolidated total should not become borrower liquidity or property NOI without supporting entity-level records and accepted treatment.
Which entities does the financial package include?
The financial package includes the entities identified by its consolidation policy and statement scope, so the borrower should identify those accounts before using the group's totals to support one property's financing. Match the reporting period and legal obligor. A familiar group name does not show whether the borrowing entity, sister properties or operating businesses are included.
Request the accountant's list of consolidated entities and the underlying financial schedules used to prepare the report. Record additions, disposals and changes in scope between years. A stronger consolidated result can reflect a newly included business rather than improved performance at the property being financed.
An actual 2007 SEC-filed consolidated financial package, Note 1 identifies the included subsidiaries and states that significant intercompany balances and transactions were eliminated. It illustrates that reporting treatment in a historical services-company package, not an ownership or cash-access rule for another borrower.
The financing file needs its own scope map. Ask which statements the lender wants for the borrower, property, sponsor and guarantor rather than substituting whichever group report looks strongest.
Why do consolidation eliminations need a separate bridge?
Consolidation eliminations need a separate bridge because a transaction between included entities can disappear from the group presentation while remaining relevant to the legal debtor, creditor or individual property's records. Obtain the underlying schedules and actual agreements. An elimination for reporting purposes does not by itself document payment, repayment cancellation or permission to ignore an affiliate obligation.
Suppose a parent records an amount due from a property subsidiary and the subsidiary records the corresponding payable. Their consolidated presentation may eliminate those matching accounts under the assumed reporting treatment. The borrower still needs to disclose the actual note and any repayment rights relevant to the proposed mortgage.
Do not add both the consolidated total and each subsidiary balance as new resources. That would count the same group assets twice. Equally, do not remove a subsidiary's obligation from its own financing schedule because it is absent from a consolidated balance sheet.
Ask the accountant to identify each material elimination by entity, account and period. Ask counsel and the lender about the actual instrument and permitted treatment. The accounting explanation and financing acceptance should remain separately attributed.
Does consolidated cash prove money is available to the borrower?
Consolidated cash does not prove that the entire balance is available to the property borrower because the money can sit in different entities or accounts with separate obligations and restrictions. Identify the actual holder and permitted transfer path. A group cash total is a reporting measure, not a completed contribution or permission to move another entity's funds.
Prepare a legal-entity cash schedule with statement date, account owner, gross balance, restrictions and actual intended use. Keep sensitive account identifiers out of a broadly shared summary. Supporting bank records should reach the lender through its accepted document process.
A sponsor may control several entities without having an unrestricted right to use every account for this closing. Ask the appropriate professionals to identify governing approvals, covenants and other conditions. Do not decide legal cash ownership from consolidated accounting alone.
The OCC CRE Lending handbook evaluates borrower and guarantor resources, liquidity and global obligations in bank supervision. That supports tracing usable resources, not treating consolidated presentation as unrestricted access to every subsidiary's money.
What does a group-to-borrower cash reconciliation show?
A group-to-borrower cash reconciliation shows how a consolidated amount can exceed the immediately available closing source without disputing the reported total, because included entities may hold funds outside the approved transfer path. Label assumptions and dates. The worksheet should distinguish cash already in the borrower from a potential contribution that still requires evidence and approval.
Table 1: Hypothetical group cash allocation, not a legal transfer determination
| Fictional holder | Cash reported | Amount assumed immediately available to property borrower |
|---|---|---|
| Fictional holder Property borrower | Cash reported $100,000 | Amount assumed immediately available to property borrower $100,000 |
| Fictional holder Parent holding company | Cash reported $200,000 | Amount assumed immediately available to property borrower $0 pending contribution evidence |
| Fictional holder Sister property entity | Cash reported $150,000 | Amount assumed immediately available to property borrower $0; separately committed in this example |
| Fictional holder Consolidated group total | Cash reported $450,000 | Amount assumed immediately available to property borrower $100,000 |
All inputs and restrictions are invented. Assume the property closing needs $250,000. The immediately documented source is $100,000, leaving $150,000 unresolved. The group total's apparent $200,000 margin over the need does not establish that closing is funded.
If the parent subsequently contributes an approved and received $175,000, the borrower source becomes $275,000 and the assumed margin is $25,000. Do not add that contribution to the unchanged $450,000 group cash total as if it creates new external money. The example transfer changes location within the assumed group.
How should property income be separated from group earnings?
Property income should be separated from group earnings by tracing rent and expenses to the financed asset and reconciling any internal charges, because a consolidated business result can include activities unrelated to the building's repayment support. Use the actual lender definition. A group profit cannot simply be divided by the subject property's mortgage payment and called property coverage.
Identify operating-company revenue, property rent, management charges and other affiliate transactions. A property leased to an affiliated operator may show rent in its entity statement while a consolidated report eliminates the corresponding internal payment. Neither presentation alone explains the tenant's supported payment capacity and the lender's treatment of that lease.
Keep the landlord and tenant obligations visible rather than adding eliminated rent back twice. Provide the executed lease, actual collections and operator evidence requested for credit review. The lender decides how those facts enter its property and sponsor analysis.
Where the loan uses global analysis, its scope still needs to be defined. The global cash-flow guide covers that broader test; this reconciliation establishes which statement accounts and transfers feed the chosen analysis.
What does the actual loan require for consolidated reporting?
The actual loan requirement determines which consolidated or separate statements must be delivered, so the borrower should read the named reporting parties and related certifications before assuming its standard corporate package is sufficient. Identify property-level supplements and calculation schedules separately. A group report can be accurate yet omit the financial detail the agreement specifically requests.
An actual 2017 property loan agreement, section 4.3.1 specifies consolidated borrower statements and separately addresses operating statements, certifications and an underwritten cash-flow calculation. Those are historical negotiated requirements for that facility, not a universal reporting checklist.
The example supports asking for the actual scope. A request for consolidated statements might concern a borrower with subsidiaries rather than the sponsor's entire holding company. Match the defined borrower and other required parties instead of selecting a larger report merely because it has more assets.
If the accountant cannot produce the requested entity detail, identify the missing schedule and proposed delivery date. Ask the lender what alternative evidence it accepts; do not record an unsupported substitute as compliance.
How should changes in the reporting perimeter be explained?
Changes in the reporting perimeter should be explained by identifying which entities entered or left the financial package and how that change affects the comparative totals, because a year-over-year increase can otherwise be mistaken for cash generated by the existing property. Retain comparable schedules. A scope change needs its own explanation beside actual operating changes and funding transactions.
For a hypothetical comparison, assume group cash rises from $350,000 to $450,000, but a newly included subsidiary contributes $120,000 of that ending total. Removing only that assumed scope effect leaves $330,000 for the previously included entities, a $20,000 decrease from their prior total. This calculation is a comparison aid, not a prescribed accounting restatement.
Ask the accountant how the actual report presents acquisitions or other scope changes and whether comparative information is appropriate. Do not alter signed financial statements to imitate the hypothetical worksheet.
Explain relevant debt changes too. Including another entity's cash while omitting its borrowing and committed expenses would overstate financial support. The lender needs a consistent perimeter for resources and obligations, with any departures disclosed rather than hidden in unexplained totals.
What evidence should accompany the property financing request?
Evidence accompanying the property financing request should include the consolidated package, entity-level schedules and a reconciliation of resources and obligations relevant to the borrower, because the lender needs to connect reported group strength to the actual transaction. Identify missing approvals and anticipated transfers. The package should show which money exists, which entity holds it and which use is supported.
Provide the scope list, elimination bridge, bank evidence, affiliate obligations, proposed contributions and property operating records. Mark requested funding separately from received cash. A dated reconciliation is more useful than a claim that the group has enough money without identifying its route to closing.

Submit the borrower and consolidated-statement reconciliation.
The bottom line
Keep the group report intact and trace it to the property borrower. Identify included entities, eliminations, account holders and actual transfer conditions before using consolidated cash or earnings in the financing request. Reporting together does not itself combine every legal obligation or make every account available for one closing.
