How Does Hotel Franchise Expiry Affect a Bridge Refinance?

Map franchise renewal and lender consent before relying on a hotel bridge exit. Compare supported branded and independent repayment cases.

Key takeaway: Hotel franchise expiry can disrupt a bridge refinance when the exit depends on continued branded operation. Map renewal deadlines and lender consent separately from loan maturity, price the transition, and test supported independent-hotel cash flow. A loan extension does not extend franchise rights or establish that replacement financing will repay the bridge.

The quick read: Hotel franchise expiry can undermine a bridge refinance when the exit depends on continued operation under a brand whose rights do not cover the planned repayment date. Before accepting terms, reconcile renewal deadlines, lender consent and replacement-brand costs. Then test an independent-hotel exit rather than assuming the current flag survives.

Which franchise dates belong beside the bridge loan maturity?

A hotel bridge borrower should put franchise expiry, renewal election deadlines and required brand approvals beside the planned refinance date before assuming continued branded operation. The loan calendar and the franchise calendar create separate obligations. An available loan extension does not establish a corresponding extension of the right to operate under the flag.

Build the calendar from the signed franchise agreement and amendments, not the expiration date copied into a marketing memorandum. Record the last day to exercise an option, any conditions to renewal, fees, outstanding defaults and obligations linked to the proposed ownership change. Mark uncertain dates as unresolved rather than substituting the sponsor's preferred timing.

For example, a fictional bridge loan might mature in December while the franchise expires in September. A refinance budget prepared for November then needs evidence supporting branded operation in October and November. Moving loan maturity to the next June would not resolve the September franchise expiry. The owner needs a renewal, an approved replacement or a funded independent-operation plan.

The general commercial bridge loan guide explains temporary financing. This article addresses the narrower question of brand continuity during that temporary period and the exit that depends on it.

What can the existing loan require before the owner changes flags?

The existing loan can impose consent and renewal obligations that a hotel owner must satisfy before replacing a brand or allowing franchise rights to lapse. Those duties come from the executed documents, not the owner's ability to find another franchisor. Review the mortgage and any mezzanine documents separately with the relevant advisers.

A concrete example is the February 12, 2026 hotel loan agreement filed by Sotherly Hotels. Sections 5.1.21 and 5.1.26 address franchise preservation, notices, renewal options and replacement-brand approval. Section 5.1.26(d) includes a replacement comfort letter requirement. These are that transaction's negotiated conditions, not a standard imposed on every hotel bridge loan. SEC-filed hotel loan agreement.

Use the actual consent clause to identify whose approval is required, what documents must accompany the request and when approval must arrive. A franchisor's willingness to issue a new agreement does not answer whether the existing creditor accepts the replacement. Similarly, a lender's consent to explore a replacement is not necessarily approval of the final agreement.

Do not mistake a booking-system change or a new exterior sign for completed transition diligence. Check the permitted use of the new brand, termination obligations under the outgoing agreement and the documents each financing party expects to receive. Identify unresolved terms before pricing a refinance that assumes the transition is finished.

How can losing the flag change the amount available to repay debt?

Losing a hotel flag can change the financing analysis when the lender's accepted income, valuation or contractual collateral eligibility depended on branded operation continuing through repayment. Test the alternative operating case using supported expenses and revenue assumptions. A brand transition should not be represented as an automatic value loss or an automatic improvement.

The 2005 Apple Hospitality Five credit agreement, section 2.4(b), illustrates a specific contractual response. It counted only 75% of an affected property's borrowing-base value after franchise termination, expiry or a notified default. After 90 days without renewal or replacement following expiry or termination, eligibility required an accepted independent-hotel appraisal. Those percentages and periods belong solely to that historical agreement. SEC-filed Apple Hospitality agreement.

A single-property bridge loan may work differently. Read its actual franchise, valuation, covenant and default provisions. The example shows why a flag cannot safely be treated as a cosmetic detail; it does not establish the haircut another lender will use.

Table 1: Hypothetical branded and independent exit calculations, not market terms

Assumed input or calculation Continued brand Independent operation
Assumed input or calculation Annual net operating income accepted for this illustration Continued brand $760,000 Independent operation $560,000
Assumed input or calculation Assumed capitalization rate Continued brand 8% Independent operation 8%
Assumed input or calculation Illustrative value: income divided by capitalization rate Continued brand $9,500,000 Independent operation $7,000,000
Assumed input or calculation Assumed exit loan at 65% of illustrative value Continued brand $6,175,000 Independent operation $4,550,000
Assumed input or calculation Bridge payoff assumption Continued brand $5,400,000 Independent operation $5,400,000
Assumed input or calculation Exit closing cost assumption Continued brand $150,000 Independent operation $150,000
Assumed input or calculation Cash left, or cash required, after payoff and costs Continued brand $625,000 left Independent operation $1,000,000 required

Every table input is fictional. The same capitalization rate isolates the income change; an actual appraisal could change both income and capitalization rate. This is one valuation constraint, not a full underwriting model. A coverage or debt-yield requirement, reserve or creditor restriction could permit less borrowing.

The independent case is $4,550,000 minus $5,400,000 minus $150,000, producing a $1,000,000 cash requirement. The $200,000 annual income difference produces a $2,500,000 illustrative value difference and a $1,625,000 proceeds difference at the assumed leverage. Neither result forecasts what removing a particular hotel brand will do.

How should renewal costs be compared with an independent exit?

Compare renewal costs with an independent exit by separating the cash needed to preserve the brand from the recurring operating results and financing proceeds assumed under each alternative. A smaller immediate renovation budget can still create a larger repayment gap. The comparison must cover the same ownership period and the same payoff obligations.

Suppose, entirely hypothetically, that continuing the brand requires $180,000 of work before refinance, already excluded from the table's operating income. Paying that amount from separate owner cash leaves the branded case with a net $445,000 of cash after the illustrated exit: $625,000 minus $180,000. The independent case still needs $1,000,000 before any additional transition costs. Under these assumptions, declining the work does not solve the financing need.

That result is not a recommendation to renew at any price. Replace the fictional income with a documented operating budget, including reservation costs, management, marketing and any expenses that change with the flag. Separate a one-time transition charge from an annual expense, and avoid subtracting the same renovation cost from both income and closing proceeds.

The OCC's Commercial Real Estate Lending handbook, version 2.0, frames repayment analysis around supported property income and borrower capacity. It does not prescribe a franchise-specific lending percentage. Use that bank-supervision framework as context for a supported exit, not as evidence that a lender will approve one. OCC handbook.

If a brand decision depends on the refinance generating cash, also test the reverse dependency: can the refinance proceed before the brand decision and related work are complete? A circular plan needs an additional committed funding source or a different sequence.

Which documents distinguish a workable transition from an assumption?

A workable hotel franchise transition needs documents establishing operating rights, creditor permissions and the cash available to complete the change before the exit lender relies on it. Assemble those records as one dated decision file. A draft franchise agreement or verbal renewal discussion should remain visibly separate from executed and accepted evidence.

Organize the file around three questions. First, what rights does the hotel have today, and when can those rights end? Include the franchise agreement, amendments, renewal notices and any default correspondence. Second, which transition steps have actually been approved? Include written creditor responses, the proposed replacement agreement and the required comfort-letter status. Third, how will the property pay for the decision? Include costs, cash timing and operating assumptions.

Give each open item an owner and a deadline. For a replacement brand, distinguish obtaining a proposal, signing the agreement, completing required work and receiving any acceptance the documents require. These events can occur on different dates. Do not mark the entire transition complete because the first event happened.

For an independent exit, provide an operating plan that removes unsupported benefits attributed to the departing brand and accounts for replacement costs. Ask the proposed exit lender to identify what additional operating history or valuation evidence it requires. Record that response as a lender-specific condition, not a universal hotel rule.

How should the franchise issue be presented for borrower placement?

Present a hotel franchise issue for borrower placement with the signed expiry and renewal terms, the proposed transition sequence and two supported exit cases that disclose every unresolved approval. This helps the financing discussion focus on an executable repayment path. Keep draft terms, consent requests and completed permissions clearly distinguished in the submission.

The bottom line

A hotel bridge exit cannot rely on a flag continuing beyond the rights established by the franchise documents. Resolve renewal timing and creditor permissions, then calculate what an independent operation would leave available for repayment. If that case requires cash the owner cannot commit, the financing plan needs revision before the borrower relies on the bridge closing.

Frequently Asked Questions

Does extending a hotel bridge loan extend the franchise agreement?

No. A loan extension changes the loan term under its documents. Franchise rights continue only through the franchise agreement, an effective renewal or an accepted replacement. Reconcile the two calendars before assuming branded operations support repayment.

Can a hotel owner change brands without asking the lender?

It depends on the executed financing documents. Some actual hotel agreements require lender consent for franchise replacement or modification. A new franchisor agreement does not establish compliance with an existing creditor approval requirement.

Does losing a hotel flag always reduce loan proceeds by 25%?

No. The 75% borrowing-base treatment discussed here belongs to a particular historical Apple Hospitality credit agreement. Other loans have their own franchise, valuation and covenant terms; no universal franchise haircut is established.

What should a borrower send when the franchise expires before refinance?

Send the signed franchise terms and renewal dates, relevant loan restrictions, approval correspondence, transition budget and supported branded and independent exit cases. Identify which permissions remain pending and how any repayment gap will be funded.
