How Do You Hand Over a Loan File When Changing Brokers?

Prepare a broker replacement register covering lender status, report acceptance, authority, expenses and secure records transfer before restarting work.

By Peyton Williams · · 9 min read

Key takeaway: A broker replacement needs a documented transition, not just a new contact. Resolve engagement and compensation questions, identify the current lender status and transfer authorized records with their scope intact. Confirm report acceptance and payment timing separately. The incoming broker can coordinate work, while lenders and advisers retain their own decisions and responsibilities.

The quick read: When replacing a commercial mortgage broker, separate termination of the engagement from transfer of the financing work. Confirm notice and compensation questions, assemble a dated handover register and verify what each lender or report provider will accept. A new broker does not automatically inherit authority, report reliance or the previous lender's approval.

What must be resolved before the new broker starts?

Before a replacement broker starts, the borrower should identify the existing agreement, effective transition date and unresolved compensation or authority questions so that the new appointment does not create overlapping instructions. Changing the person coordinating the work does not itself cancel the earlier contract, transfer reports or tell a lender who now represents the borrower.

Gather the engagement, amendments, notices and correspondence about the transition. Ask counsel to resolve disputed rights rather than asking the incoming broker to interpret a competitor's agreement. The incoming team needs an accurate operational boundary: what work can begin, which communications remain restricted and who is authorized to instruct each participant.

One historical SEC-filed brokerage agreement separately addresses termination, payments for prior services and a transition opportunity in sections 3.2–3.6. It illustrates that stopping work and completing a handover can be different contractual events. Its particular provisions are not universal notice periods or a rule for your engagement. If the change is driven by a deadline, explain that deadline with evidence. A purchase contract expiration, lender deposit expiration and report delivery date are separate events. Do not describe the file as ready to close merely because an application was submitted. A replacement broker needs the unresolved conditions as much as the completed materials.

Which records make a useful handover register?

A useful handover register identifies each financing work product, its owner, current version and next action so that the incoming broker can resume the actual transaction rather than reconstructing it from scattered messages. Include lender status and outstanding questions alongside documents, and distinguish material that exists from material that another party has permission to rely on.

Organize records by the decisions they support. Property operating records support income review; organizational documents identify the applicant; reports support specific collateral questions; lender correspondence records what was requested or offered. An attachment list with no dates or context can conceal a withdrawn quote or a report prepared for a different scope.

Illustrative broker handover register — fictional statuses, not a completed transfer:

Workstream Last documented state Evidence to deliver Next confirmation
Workstream Lender application Last documented state Submitted, questions outstanding Evidence to deliver Application copy and question list Next confirmation Authorized contact and current review status
Workstream Preliminary quote Last documented state Received but expired Evidence to deliver Quote and expiration language Next confirmation Whether lender will refresh terms
Workstream Appraisal Last documented state Delivered to original engaging lender Evidence to deliver Report and engagement reference Next confirmation New lender's acceptance and reliance requirements
Workstream Environmental work Last documented state Site visit completed, report pending Evidence to deliver Provider contact and authorized scope Next confirmation Delivery date and permitted recipients
Workstream Borrower records Last documented state Financial package updated after submission Evidence to deliver Dated current files and change summary Next confirmation Which lender versions need correction
Workstream Expenses Last documented state Deposit paid, allocation unresolved Evidence to deliver Receipt and itemized statement Next confirmation Credit, refund or remaining cost treatment

Assign one borrower representative to resolve gaps. A document described as transferred should actually be accessible to the authorized recipient. If the outgoing provider cannot release a file, record who can supply it instead. Ask for confirmation of receipt rather than assuming an email attachment completed every part of the handover.

Retain the earlier record as well as the update. If a lender was given a different operating figure, the replacement team should know the difference and its reason. This is not permission to circulate every historical version. It is a way to explain a correction accurately when the lender asks about it.

Why does possession of a report not guarantee acceptance?

Possession of an appraisal or environmental report does not guarantee that a new lender will accept it because the recipient, purpose, scope and current condition of the property can matter to its review. Ask the lender and report provider what is required before treating an existing document as a substitute for newly commissioned work.

The Interagency Appraisal and Evaluation Guidelines address appraisal independence, engagement and review for federally regulated institutions. Their framework supports checking the new institution's acceptance process rather than assuming borrower ownership of a PDF establishes reliance. The guidelines do not promise that transferring a report eliminates review or cost. Federal Reserve appraisal and evaluation guidance.

Record the report date, property identifier, ordering party and any limitation on use. Ask whether the property or transaction has changed since inspection. A newly signed lease, different collateral package or revised renovation plan may be relevant even when the street address is identical. Let the lender determine its required scope.

Do not direct an appraiser to produce a desired value as part of the transfer. Supply factual corrections or new information through the appropriate review channel. The replacement broker can coordinate the request without suggesting that a higher value is the price of winning the new engagement.

For context on the different roles of valuation documents, see AVMs, BPOs and appraisals. Here the decision is how to inventory and hand over ongoing work when brokerage coordination changes, including situations where the lender remains the same.

How should lender communications change during the transition?

Lender communications should change through an explicit borrower instruction identifying the new authorized contact and the status of the existing request so that a transition does not look like an unrelated or contradictory application. Confirm how the lender wants the change documented, and preserve outstanding conditions instead of implying that the incoming broker starts with a clean approval.

Ask for a concise status acknowledgement from each active lender. It should distinguish an inquiry, submitted application, preliminary quote, commitment and closing preparation. If a previous quote has expired, report it as expired. If the lender declined the file, ask what documented reason may be shared and whether a changed request is actually being considered.

Decide who will send the transition instruction and who remains copied. Avoid asking both brokers to negotiate separate versions of the same facility while leaving the lender to infer your intention. If a handover period is agreed, identify which tasks each person retains and when that arrangement ends.

Separate a coordination change from a transaction change. A new purchase price, loan amount, borrower entity or repayment plan may require renewed lender review regardless of who sends the email. Explain those changes in a dated summary with supporting files rather than presenting the same application as though nothing changed.

The commercial broker versus direct lender guide explains the general roles. Switching brokerage coordination does not turn the broker into the creditor or remove the lender's responsibility for its own underwriting decision.

How do you calculate the cash exposure of a handover?

The cash exposure of a broker handover should be calculated from actual contractual obligations and paid expenses rather than by treating every earlier payment as recoverable or every new cost as unavoidable. Keep sunk costs, confirmed credits, disputed amounts and newly authorized work in separate columns before deciding whether a proposed transition is affordable.

Consider a labeled hypothetical. The borrower previously paid a $6,000 lender expense deposit. A documented statement allocates $4,000 to completed work and identifies $2,000 as an agreed refundable balance. A new lender requests a separate $5,000 deposit. If the refund is received before the new payment, the net additional cash movement is $3,000. Before that refund arrives, the immediate payment requirement remains $5,000.

This example assumes the allocation and refund have actually been confirmed. It does not create a refund right or imply that a broker must return a lender's money. If the first deposit is fully spent or nonrefundable under the applicable documents, the borrower cannot count the assumed $2,000 toward the new payment.

Add any outstanding brokerage compensation question separately. A disputed fee is not settled by moving a report into a new folder. Ask counsel and the relevant counterparty what documentation resolves the obligation. Do not count the same prior payment both as a credit against a new invoice and as a cash refund.

Prepare a dated cash schedule for the expected payment and receipt dates. A transition may be economical overall yet still require temporary liquidity. The schedule helps the borrower distinguish that timing problem from the larger decision about changing the service provider.

What information should be transferred securely?

Information transferred during a brokerage handover should be limited to the authorized financing purpose and sent through a channel appropriate to the sensitivity of the records so that replacing a provider does not expose borrower financial information unnecessarily. Identify permitted recipients, verify access and retain evidence of the transfer rather than forwarding an unrestricted archive.

The FTC's Safeguards Rule guidance describes security responsibilities for covered financial institutions and includes mortgage brokers among its examples. Applicability depends on the activities and information involved; this article does not conclude that every commercial deal file or every broker falls within the same regulatory coverage. Its practical recommendations here are an evidence-handling checklist, not a compliance certification. FTC Safeguards Rule guidance.

A rent roll and a guarantor financial statement may require different access boundaries. Ask who needs each file and why. Remove unrelated personal records from a financing export, but do not alter material facts the lender needs. Verify the recipient using an established contact before releasing sensitive information.

Ask the outgoing provider which access permissions will end and which records must be retained for an ongoing obligation. Do not assume termination requires immediate deletion of all documents. Obtain a written description of the retention and access arrangements where these matter to the transition.

YieldStack, Inc. is a commercial mortgage brokerage: it does not originate loans or extend credit, and the loan programs it presents are offered by third-party lenders subject to their own underwriting.

YieldStack's editorial recommendation is to make the handover traceable before requesting replacement work. You can use the commercial financing overview to define the transaction and submit the request with any existing engagement and lender-status questions disclosed. No submission itself terminates an appointment or transfers report reliance.

Bottom line

Finish the handover with a confirmed lender contact, an accessible document register and a dated list of unfinished work. Treat report reliance, refunds and prior compensation as separate issues with their own evidence. This lets the replacement team resume the actual financing process without mistaking a change of coordinator for a new approval.

Frequently Asked Questions

Does replacing my broker require a new lender?

No automatic lender change follows from replacing the coordinator. Ask each active lender how to document the new authorized contact and whether transaction changes require further review.

Can the incoming broker use every existing report?

Do not assume acceptance or reliance transfers. Record the original engagement, recipient, scope and date, then confirm requirements with the lender and provider.

Can I count a promised refund as available cash?

Only treat it as received liquidity when it has arrived. Keep the immediate new payment separate from a documented but pending refund and from disputed amounts.

Should I send the incoming broker my entire email archive?

Prepare an authorized, relevant handover instead. Preserve material history while limiting access to sensitive or unrelated records and verifying recipients.
